Nebraska Section Bylaws | |

Nothing in these bylaws is to be construed as to be contrary to the IEEE Bylaws, Constitution and Policy and Procedures. Article I - Name Article I - NameSection 1 - This organization shall be known as The Nebraska Section of the Institute of Electrical and Electronics Engineers, Inc.Section 2 - The territory of the Nebraska Section, as approved by the regional activities board, includes central and eastern Nebraska and Pottawattamie county in Iowa: bounded on the west (inclusive) by the counties of Cherry, Grant, Arthur, Keith, and the Nebraska-Colorado border; on the south by the Nebraska-Kansas border, on the east by the Nebraska-Iowa border, but including Pottawattamie county in Iowa; on the north by the Nebraska-South Dakota border, but excluding the Sioux City (Dakota county) metropolitan area. TopArticle II - OfficersSection 1 - The Officers of the Section shall be a Chair, a Vice-Chair, a Secretary-Treasurer and four Members-at-Large of the Executive Committee, all of whom shall hold office for one year, with the exception of the Chair, who at the expiration of the term for which they are elected shall, as Junior Past Chair, be a member, ex-officio, of the Executive Committee for the following year. Terms of office will begin on January 1, but, in any case, the outgoing officers will continue until their successors are duly elected and take office. Section 2 - The management of the Section shall be by an Executive Committee consisting of the Chair, Vice-Chair, Secretary-Treasurer, four Members-at-Large, ex-officio Junior Past Chair, Chair of Sub-Sections and representatives of the Technical Groups and Professional Technical Group Chapters. Section 3 - All Officer or Executive Committee vacancies occurring during the year shall be filled for the remainder of the unexpired term by a majority vote of the Section Executive Committee. In making such appointments, the Executive Committee normally shall follow the plan of progression indicated by these Bylaws; except that, in case of vacancy of the ex-officio Junior Past Chair, the appointee shall be the next available past chair in regency of service. All persons appointed to fill vacancies shall hold office until the next succeeding January 1. Section 4 - The duties of the elected officers shall be described in the IEEE Section Operations Guide. TopArticle III - NominationsSection 1 - On or before September 15, the Chair of the Section shall appoint a Nominating Committee of three or more members not then officers of the Section. Preference shall be given to appointing as Committee members the most recent Past Chair who are still residing in the territory of the Section. The Junior Past Chair normally shall be Chair of the Nominating Committee. Section 2 - The Nominating Committee shall prepare a regular ticket consisting of one candidate for Chair, one candidate for Vice-Chair, two candidates for the one office of Secretary-Treasurer and eight candidates for a total of four offices for Members-at-Large of the Executive Committee. Section 3 - The Nominating Committee's actions shall be guided by the following: a. The Nominee for the office of Chair, preferably, shall be the Section Vice-Chair. b. The Nominee for the office of Vice-Chair, preferably, shall be the Section Secretary-Treasurer. c. The Nominees for the office of Secretary-Treasurer shall be chosen from among Section members who have served on the Executive Committee. d. The Nominees for the offices of Members-at-Large shall be chosen from among Section members who have been active in the management of the Section's activities. e. The names of the candidates selected by the Nominating Committee shall be announced to the Section membership on or before October 1. Following this, a minimum of 28 days will be allowed for additional nominations by petition. Section 4 - Nominations for any or all offices also may be made by petition under the following provisions: a. Petitions bearing the personal signatures of at least 2 per cent or 25 regular voting members of the Section, whichever is smaller, must be delivered to the Secretary-Treasurer not later than October 29. b. The nominees covered by such petitions shall be included in the regular ballot and designated as being nominated by petition. TopArticle IV - ElectionsSection 1 - No later than November 1 of each year the Secretary-Treasurer shall prepare and mail to each qualified voting member of the Section an official ballot containing the names of all nominees duly proposed in accordance with these Bylaws, together with a pre-addressed return envelope and a smaller unmarked and unidentified inner-envelope. Section 2 - Only official ballots received by the Secretary-Treasurer not later than December 1 shall be counted and, to be accepted, shall be enclosed in the sealed, unidentified inner-envelope. This inner-envelope shall be enclosed in a sealed outer mailing envelope bearing the identifying signature of the voting member. The Secretary-Treasurer shall check the names on the outer envelope against the authentic, up-to-date list of the regular voting members of the Section, separating unopened, any and all, ballots from ineligible persons. Section 3 - The Section Chair prior to November 1 of each year shall appoint a committee of three or more tellers not running for office. This committee shall receive from the Secretary-Treasurer, unopened, all election ballots received in accordance with these Bylaws. The results of the election shall be typed in triplicate, bearing the personal signature of all members of the committee of tellers, together with the date of the count. One such copy shall be delivered by December 5 to the Chair and one copy to the Secretary-Treasurer, which shall be retained in the permanent files of the Section. The third such copy shall remain in the possession of the Chair of the committee of tellers at least until after publication of the announcement of the election results. A majority of the votes cast shall be necessary for election. In case of a tie in the votes for any office, it shall be resolved in favor of one of the candidates so tied by a majority of the votes cast by the members of the Executive Committee present at a meeting to be called as soon as feasible after the count of votes by the tellers but at least prior to the regular February Section meeting; a record of such vote shall be entered in the minutes of said meeting of the Executive Committee. Section 4 - The names and duties of newly elected officers shall be made known to the membership following the election by one or more of the following methods: posting on the section homepage and/or newsletter or meeting announcement. TopArticle V - CommitteesSection 1 - Standing Committees of the Section shall include a Professional Activities Committee, a Membership Committee, an Education Publicity Committee, an Awards Committee and a Student Activities Committee. Duties of the Standing Committees will be generally as described in the IEEE Section Operations Guide. The Section Chair with the approval of the Section Executive Committee shall appoint the Chairs of the Standing Committees and their terms will expire on December 31. The Chairs of these standing committees, preferably, shall be appointed from those elected to the offices of Vice Chair and Members-at-Large. Each Committee Chair will appoint his/her Committee members, with the approval of the Section Executive Committee. Section 2 - The activities of all Section Technical Groups, not associated with any Professional Technical Group Chapters, shall be governed and operate in a manner similar to Professional Technical Group Chapters. One or more members appointed by the Section Chair, to be known as General Technical Chair, shall represent all such Technical Groups and all Professional Technical Group Chapters on the Section Executive Committee. Section 3 - Additional committees may be authorized by vote of the Section Executive Committee with their Chairs to be appointed by the Section Chair. TopArticle VI - Meetings
Section 1 - At least ten percent or 25 voting members, whichever is smaller, shall be required to constitute a quorum at meetings of the Section called for the transaction of regular business wherein a vote is to be taken and a majority vote of those present shall be necessary in the conduct of its business. Section 2 - Meetings of the Section Executive Committee ordinarily will be held monthly and will be called by the Section Chair or by a request of any (3) members of the Section Executive Committee. A majority of the Section Executive Committee members shall be required to constitute a quorum at its meetings and a majority vote of those present shall be necessary in the conduct of its business. TopArticle VII - FinancesSection 1 - Section funds shall not be used for purposes other than the normal operations of the Section, as hereinafter defined, without prior authorization of the IEEE Headquarters Executive Committee. The Section Treasurer or Chair must approve all expenditures of Section funds. The Section Chair shall be authorized to draw funds as approved by the Section Executive Committee. Section 2 - Expenditures incurred in the normal operations of the Section may be defrayed by Section funds for the following purposes: a. Stationery b. Postage c. Secretarial and other preparation, assembly and mailing costs of Section meeting notices, election ballots, etc. d. Other necessary expenses directly associated with specific Section operations, including necessary traveling, meal and lodging expenses for speakers at Section meetings. Section 3 - The Section shall establish appropriate bank accounts for accounting of Section funds. Such accounts must have as a single signatory, the signature of the IEEE Staff Director, Financial Services. Accounts established in the name of IEEE must be reserved for the purpose for which they are established, without co-mingling of funds. Section 4 - The fiscal year of the Section shall be January 1 - December 31. TopArticle VIII - AmendmentsSection 1 - Proposals for amendments to these bylaws may originate in the Section Executive Committee or by a petition signed by 25 or more voting members. Section 2 - Amendments to or revocation of these bylaws shall be in accordance with the IEEE bylaws. Top |
